Terms of Service
What governs use of this website, and how published information relates to a signed services agreement.

Short version: everything on this site is information, not a contract. Rates are indicative until confirmed in writing. If anything here conflicts with the agreement you sign, the signed agreement wins.
1. Who these terms are with
This website is operated by Maestro Innovations LLC, a limited liability company based in Houston, Texas ("Maestro", "we", "us"). Maestro Tech Solutions Nig Ltd, based in Lagos, Nigeria, is our wholly owned subsidiary and employs the personnel we place.
By using this website you agree to these terms. If you do not agree, please do not use the site.
2. What this website is
This site describes our services and publishes indicative rates. It is provided for information only.
Nothing on this site is an offer capable of acceptance, a binding quote, a guarantee of availability, or a promise that a particular person or skill set can be supplied. Submitting a form does not create a contract between us.
3. The signed agreement controls
Any engagement begins only when both parties sign a written services agreement, statement of work, or order form (together, the "Agreement").
Where anything on this website conflicts with the Agreement, the Agreement governs. That includes rates, timelines, guarantees, refund terms, notice periods, intellectual property, and liability. Statements on this site do not amend, expand, or override signed terms.
4. Rates and quotes
Published monthly rates are indicative and current as of the date shown on the pricing page. The rate for a specific person depends on role, seniority, and specialization, and is confirmed in writing before an engagement starts.
Fixed-price project quotes are valid for 30 days from issue unless the quote says otherwise. A fixed quote covers only the scope set out in the written quote. Work outside that scope is quoted separately and requires your written approval before it proceeds.
We may change published rates at any time. A change to published rates does not alter the rate agreed for a live engagement, which changes only as provided in the Agreement.
5. How placements work
Personnel we place are employed or engaged by Maestro Tech Solutions Nig Ltd in Nigeria. Maestro Tech Solutions Nig Ltd is responsible for their payroll, statutory deductions, statutory benefits, and employment administration under Nigerian law.
You contract with Maestro for services. You do not become the employer of the personnel placed with you, and no employment relationship is created between you and them by these terms or by day-to-day working contact.
You are responsible for the work you direct, for the systems and data you give access to, and for supervising output in the same way you would for your own team. You agree not to direct personnel to perform unlawful work, and not to require work that would breach their employment terms.
6. Service commitments and guarantees
Where we publish a commitment, such as candidate profiles within a stated period, a replacement period, a pilot refund, or a trial period, that commitment applies as described in the Agreement and is subject to the conditions set out there.
Commitments that depend on your input are conditional on receiving it. A profile turnaround time runs from a scoped request, meaning one where we have the role, the required skills, the working hours, and the budget. Where we need more information to scope a request, the period starts once we have it.
Refund and replacement remedies described on this site are the exclusive remedies for the situations they address.
7. Payment
Monthly engagements are invoiced in advance in US dollars on net-7 terms unless the Agreement states otherwise. Fixed-price projects are invoiced 50% on commencement and 50% on delivery, or across milestones where the quote says so.
Invoices are payable to Maestro Innovations LLC by card or ACH. You are responsible for any taxes applicable to you in your own jurisdiction. Overdue amounts may be subject to interest and to suspension of services, as set out in the Agreement.
8. Intellectual property in delivered work
Subject to payment in full, work product created for you under an engagement is assigned to you as set out in the Agreement. Personnel placed with you sign confidentiality and assignment terms before onboarding.
We retain ownership of our own pre-existing materials, internal tooling, templates, know-how, and anything developed independently of your engagement. Where those are embedded in delivered work, you receive a perpetual licence to use them as part of that work.
This site, its content, and the Maestro name and marks remain our property. You may not copy, republish, or use them without written permission.
9. Confidentiality
Each party will protect the other's confidential information, use it only for the engagement, and not disclose it except to people who need it and are under equivalent obligations. Client-specific confidentiality terms and non-disclosure agreements are supported and, where signed, take precedence over this section.
10. Hiring personnel directly
If you want to move someone we placed onto your own payroll, we support that. The conversion terms, including any fee and the period after which no fee applies, are set out in the Agreement or provided on request.
Except through that route, you agree not to solicit or engage personnel we introduce to you, directly or through another entity, during the engagement and for the period stated in the Agreement.
11. Using this website
You agree not to use this site to submit false information, to interfere with its operation, to attempt unauthorised access, to scrape it at a scale that degrades service, or to use it for any unlawful purpose.
Forms on this site are for genuine enquiries. We may decline to respond to, and may block, submissions that appear automated or abusive.
This site links to and embeds third-party services, including our scheduling provider. We do not control those services and are not responsible for their content or their terms.
12. Disclaimers
This website is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error free, or that the information on it is complete or current at every moment.
Cost comparisons, savings figures, effective hourly rates, and market ranges shown on this site are illustrative estimates based on stated assumptions. They are not a forecast of your actual costs or savings, which depend on your salaries, benefits load, jurisdiction, and the seniority you engage.
Nothing on this site is legal, tax, employment, immigration, or financial advice. Take your own advice before making decisions about cross-border engagement, worker classification, or data transfer.
13. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of your use of this website.
Liability arising from an engagement is governed by the Agreement, including any cap on liability set out in it.
Nothing in these terms excludes liability that cannot lawfully be excluded.
14. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your misuse of this website, your breach of these terms, or your unlawful use of services or personnel provided through an engagement.
15. Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law rules. The state and federal courts located in Harris County, Texas have exclusive jurisdiction, and both parties submit to that jurisdiction.
16. Changes
We may update these terms. The version published on this page at the time you use the site is the version that applies. Material changes affecting a live engagement are handled through the Agreement, not through this page.
